1. Acceptance of Terms and Conditions

These Terms of Use (“Terms” or “Terms and Conditions”) govern your use of and access to the websites located at www.primalhomesolutions.com and any related subdomains or online platforms operated by Primal Residential Properties, LLC (“Primal Vacation Rental Management,” “Primal Home Solutions,” “we,” “our,” or “us”), as well as any materials, information, or services provided on or through the Site (collectively, the “Services”). 

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our [Privacy Policy], which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and disclose the information you provide to us. If you do not agree to these Terms or the Privacy Policy, you may not use our Services. 

These Terms include important provisions affecting your legal rights, including: 

  • A waiver of your right to participate in a class or representative action, and 

  • An agreement that any disputes between you and Primal Residential Properties, LLC will be resolved by binding arbitration, except as otherwise stated in the Dispute Resolution section below. 

If you do not wish to be bound by these Terms, you must discontinue use of our Services immediately. 

Modifications to These Terms 

We may modify these Terms of Use from time to time at our sole discretion. If we make material changes, we will provide reasonable notice of such changes—such as updating the “Effective Date” at the top of this page or providing notice through the Services. Unless otherwise stated in our notice, the revised Terms are effective immediately upon posting. 

By continuing to use the Services after such changes become effective, you acknowledge and agree to the updated Terms. 

You further agree that the amended Terms and Conditions shall apply retroactively to all interactions between you and Primal Residential Properties, LLC going forward, including the resolution of any disputes that arose prior to your acceptance of the amended Terms, whether or not notice of such dispute was provided or arbitration was initiated before you received notice of the amended Terms and Conditions. 

If you do not agree to the amended Terms, you must stop using our Services. 

 

2. Use of the Site and Information 

2.1 Acceptable Use 

You may use our website and Services only for lawful purposes and in accordance with these Terms. By accessing or using the Site, you agree that you will not: 

  • Use the Site in any manner that violates applicable local, state, national, or international law or regulation; 

  • Engage in any activity that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site; 

  • Attempt to gain unauthorized access to any portion of the Site, user accounts, or systems connected to the Site through hacking, password mining, or other means; 

  • Upload, post, or transmit any viruses, worms, Trojan horses, malicious code, or other harmful materials; 

  • Use any robot, scraper, or other automated means to access the Site for any purpose without our prior written consent; 

  • Misrepresent your identity or affiliation with any person or entity; or 

  • Use the Site to engage in or promote any deceptive, fraudulent, or misleading activity. 

We reserve the right to suspend or terminate your access to the Site if we believe you have violated these Terms or engaged in any unauthorized or harmful activity. 

 

2.2 Use of Information 

Unless otherwise specified, copyright in all copyrightable subject matter on the Services is owned by Primal Residential Properties, LLC, operating as Primal Home Solutions (“Primal Home Solutions”). 

To the extent that Primal Home Solutions has the right to do so without compensation to third parties, and except for materials or information specifically provided under other terms, Primal Home Solutions grants you permission to copy or download information and materials (including related graphics) from the Site, provided that: 

  1. The materials are for internal, non-commercial use only, and 

  1. Any copies of materials or portions thereof include the copyright notice specified on the Services. 

If attribution to Primal Home Solutions is included, limited quotations from the content are permitted. However, you may not copy, display, or redistribute any portion of the Site’s content for commercial purposes without our prior written permission. 

Documents, images, and materials posted by Primal Home Solutions on the Site may contain additional proprietary notices or describe products, services, processes, or technologies owned by Primal Home Solutions or third parties. Nothing contained herein shall be construed by implication, estoppel, or otherwise as granting any license or right under any copyright, trademark, patent, or other intellectual property right of Primal Home Solutions or any third party. 

Except as expressly provided in these Terms, you may not use, copy, reproduce, distribute, republish, download, modify, display, post, or transmit any content or trademarks from the Site, in whole or in part, in any form or by any means, without our express prior written permission. 

 

3. Trademarks, Monitoring, and User Submissions 

3.1 Trademarks 

The Primal Home Solutions and Primal Vacation Rental Management names, logos, and all related product and service names, design marks, and slogans are trademarks, service marks, or registered trademarks of Primal Residential Properties, LLC (“Primal Home Solutions”). These marks may not be used in any manner—whether in advertising, publicity, or otherwise—without the prior written consent of Primal Home Solutions. 

Other product or service names and logos displayed on the Site may be trademarks of their respective owners. Any unauthorized use of trademarks, service marks, trade dress, or logos appearing on this Site may violate federal and state trademark laws and could result in legal action. 

 

3.2 Consent to Monitoring and Disclosure 

Primal Home Solutions is under no obligation to monitor the information residing on or transmitted through this Site. However, by accessing and using the Site, you acknowledge and agree that Primal Home Solutions may monitor the Site as necessary: 

  1. To comply with any applicable laws, regulations, or governmental requests; 

  1. To operate the Services in a manner it deems appropriate; or 

  1. To protect against conduct it considers improper, harmful, or in violation of these Terms. 

Primal Home Solutions shall have the right, but not the obligation, to review, reject, or remove any information or materials residing on or transmitted to the Site that it, in its sole discretion, deems unacceptable or inconsistent with these Terms. 

 

3.3 User Submissions and Feedback 

In the event Primal Home Solutions receives any information, materials, or communications through the Site—including but not limited to feedback, data, questions, comments, suggestions, ideas, or other submissions (collectively, “Submissions”)—such materials shall be deemed non-confidential and non-proprietary. 

By submitting any such materials, you acknowledge and agree that: 

  • Primal Home Solutions assumes no obligation to protect such materials from disclosure; 

  • The submission of such information shall not prevent Primal Home Solutions from purchasing, manufacturing, developing, or using similar products, services, ideas, or concepts for any purpose; and 

  • You grant Primal Home Solutions a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, create derivative works from, and publicly display and perform such materials in any form, media, or technology now known or later developed. 

You further agree that Primal Home Solutions may use your Submissions for any purpose whatsoever, without compensation or attribution to you. 

4. Third-Party Links, Endorsements, and External Sites 

4.1 Third-Party Links 

Our Site may contain links to content, products, or services hosted on third-party websites (“Linked Sites”). These Linked Sites are not under the control of Primal Home Solutions, and we make no representations or warranties regarding the content, accuracy, or availability of these Linked Sites. 

The inclusion of any link does not constitute an endorsement, authorization, sponsorship, or affiliation by Primal Home Solutions with respect to the Linked Site, its owners, or providers. 

 

4.2 Use of Third-Party Sites 

You acknowledge and agree that: 

  • You access and use Linked Sites at your own risk; 

  • Primal Home Solutions has not tested or verified the information, software, or products available on Linked Sites; 

  • There are inherent risks in using or relying upon information, software, or products from the Internet, and you are solely responsible for understanding and managing such risks; and 

  • Any data collection, sharing, or privacy practices of Linked Sites are governed by their own privacy policies, which you should review before interacting with those sites. 

Primal Home Solutions provides these links only as a convenience to users and does not control or guarantee the availability, content, or functionality of any Linked Site. 

 

5. Disclaimer of Warranties and Limitation of Liability 

5.1 Limitation of Liability 

By using this Site, you assume all responsibility and risk associated with its use and with the Internet generally. In no event shall Primal Residential Properties, LLC, operating as Primal Home Solutions, or its affiliates be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of use, data, or profits, whether arising under contract, tort, negligence, or any other legal theory, in connection with: 

  • Your access to or use of the Site; 

  • Any reliance on the information, materials, or services provided; or 

  • Your interaction with the Internet generally. 

Even if Primal Home Solutions has been advised of the possibility of such damages, you agree that these limitations apply. 

 

5.2 Warranty Disclaimer 

The content, information, and materials on this Site are provided “as is” and “as available,” without warranties of any kind, either express or implied. This includes, but is not limited to, warranties of: 

  • Title or ownership; 

  • Non-infringement; 

  • Merchantability; or 

  • Fitness for a particular purpose. 

Although Primal Home Solutions strives to ensure that the content is accurate, complete, and up-to-date, we make no representations or warranties regarding the accuracy, completeness, or currency of the content. The Site may contain technical inaccuracies, typographical errors, or omissions, and content may be updated, changed, or removed without notice.

6. Indemnification, User Responsibilities, and Enforcement 

6.1 Failure to Comply 

Primal Home Solutions reserves the right, at its sole discretion, to terminate or restrict your access to any or all of the Services, without notice, if you violate any of these Terms of Use. Such violations may include, but are not limited to, unauthorized use of the Site, submission of prohibited content, or infringement of intellectual property rights. 

Primal Home Solutions also reserves all remedies at law or in equity for any violation of these Terms, including the right to seek injunctive relief or damages. 

 

6.2 User Content 

By posting, uploading, or submitting any comments, reviews, media, or other content (“User Content”) to the Services, you grant Primal Home Solutions a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any form, media, or technology. 

You represent and warrant that: 

  1. Your User Content is accurate, truthful, and not misleading; 

  2. It is your own original content or you have obtained all necessary rights and permissions to submit it; and 

  3. It does not violate any third-party intellectual property, privacy, publicity, or other legal rights. 

You agree not to post User Content that is: 

  • Unlawful, harmful, threatening, abusive, harassing, defamatory, or discriminatory; 

  • Hate speech, sexually explicit, pornographic, or violent material; 

  • Impersonating another person or entity; 

  • Personal information about others posted without consent; 

  • Spam, commercial solicitations, or promotional materials; or 

  • Malware, viruses, or other harmful code. 

Primal Home Solutions reserves the right to monitor, remove, refuse, edit, or take legal action regarding any User Content at its sole discretion. While we may review User Content, we are not obligated to do so and assume no responsibility for content posted by users. Users may report violations at Legal@primalhomesolutions.com. 

 

6.3 Restrictions on Your Use of the Services 

You agree to use the Services only for lawful purposes and in compliance with these Terms. You may not use the Services to: 

  • Access areas or features without proper authorization; 

  • Impersonate others or misrepresent yourself, your age, or affiliations; 

  • Violate any national, state, local, or international law; 

  • Promote criminal or illegal activity or provide instructions for such activities; 

  • Interfere with, disable, or disrupt networks or services; 

  • Harvest or collect email addresses or other personal information for unsolicited communications; 

  • Use the Services for commercial purposes other than approved transactions through the Services; 

  • Transmit, distribute, store, or destroy material in violation of laws or third-party rights, including copyright, trademark, or trade secrets; 

  • Restrict or inhibit other users from using or enjoying the Services. 

 

6.4 Age Restrictions 

You must be at least 18 years old (or the age of majority in your jurisdiction if higher) to create an account or use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. 

 

6.5 Governing Law 

These Terms and your use of the Services are governed by the laws of North Carolina, United States of America, without regard to conflict of law provisions. Any legal action not subject to arbitration must be filed exclusively in state or federal courts located in North Carolina, and you consent to the personal jurisdiction of such courts. 

 

6.6 Dispute Resolution 

Informal Resolution 

Before filing any claim, you agree to attempt informal resolution by contacting Legal@primalhomesolutions.com with your full name, email, telephone number, and a detailed description of the dispute. If unresolved within 60 days, formal claims may be filed. Claims filed prior to the end of the 60-day period are subject to dismissal. 

Binding Arbitration 

Unresolved disputes will be resolved through binding arbitration administered by JAMS under JAMS Streamlined Arbitration Rules. Key points include: 

  • Arbitration is individual only; class or representative claims are waived. 

  • Exceptions: intellectual property disputes or small claims within jurisdictional limits. 

  • Opt-Out: You may reject arbitration within 30 days of first use or notice of material amendment by emailing Legal@primalhomesolutions.com with your details. 

Arbitration Procedures 

  • Arbitration follows the Federal Arbitration Act, preempting inconsistent state law. 

  • Consolidation rules apply if ten or more claims arise with similar facts. 

  • Arbitrator decisions for claims over $5,000 must include essential findings and comply with the Limitation of Liability section. 

  • Awards apply only to the individual party seeking relief and do not affect others. 

Delegation to Arbitrator 

The arbitrator has exclusive authority to determine the enforceability of these Terms and any claim under them, except provisional remedies may be sought in court. 

Waiver of Class or Representative Actions 

You waive the right to court trials (except small claims or IP disputes) or participation in class, representative, or private attorney general actions. 

  

7. Notice 

You consent to receive any agreements, notices, disclosures, and other communications (collectively, “Notices”) referenced in these Terms electronically, including by email or posting on the Services. 

  • You agree that all Notices provided electronically satisfy any legal requirement that such communications be in writing. 

  • To withdraw consent to electronic Notices, email Legal@primalhomesolutions.com and discontinue use of the Services. In such a case, all rights granted under these Terms automatically terminate. 

  • This consent is separate from marketing communications; your options regarding marketing are outlined in our Privacy Policy. 

8. Changes and Updates 

Primal Home Solutions reserves the right to modify, update, or discontinue any aspect of the Services or these Terms at any time, with or without notice. 

  • We will endeavor to provide reasonable notice of material changes, such as updating the effective date or posting a notice on the Services. 

  • Access to specific areas of the Services may be subject to additional or different terms. 

  • Your continued use of the Services after such changes constitutes acceptance of the updated Terms. 

 

9. General 

  • These Terms constitute the complete and exclusive agreement between you and Primal Home Solutions regarding the Services, superseding all prior agreements, communications, or proposals, whether written or oral. 

  • Nothing in these Terms creates an agency, partnership, or joint venture relationship. 

  • Our failure to enforce any provision shall not constitute a waiver of our right to enforce it later. 

  • If any provision is found unenforceable or invalid, the remainder of the Terms shall remain in effect. Where possible, the provision will be modified to reflect the original intent. 

  • Headings are for convenience and shall not affect interpretation. 

  • Rights conferred are cumulative and may be exercised singly or together. 

 

10. Assignment 

  • You may not assign or transfer your rights or obligations under these Terms without our prior written consent; any attempt to do so is void. 

  • Primal Home Solutions may assign its rights and obligations to any successor or assignee. 

 

11. Security 

  • You agree to comply with any security procedures established by Primal Home Solutions, including password protection. 

  • You may not access restricted areas of the Services without explicit written authorization. 

  • Any unauthorized attempt to access areas of the Services may result in termination of access and potential legal action. 

 

12. Indemnification 

You agree to indemnify, defend, and hold harmless Primal Home Solutions, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of: 

  • Your use of the Services; 

  • Your violation of these Terms; 

  • Your User Content; or 

  • Your violation of any law or the rights of a third party. 

This indemnification obligation applies even if the claims are based on negligence, strict liability, or other legal theories. 

 

13. Limitation of Liability 

  • To the maximum extent permitted by law, Primal Home Solutions and its affiliates are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the Services, even if advised of the possibility of such damages. 

  • This includes, but is not limited to, loss of data, profits, or use, errors, or inaccuracies in content. 

  • The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. 

 

14. Governing Law & Dispute Resolution 

  • These Terms are governed by North Carolina law, without regard to conflicts of law provisions. 

  • Any dispute not subject to arbitration must be filed exclusively in state or federal courts in North Carolina. 

  • Binding Arbitration rules and opt-out provisions are detailed in Section 6.
